Please read these Terms of Service (the "Terms") carefully before accessing or using the services, software, or platform provided by Convexity AI, Inc. ("Convexity," "we," "us," or "our") at theconvexity.com and any related applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

To use the Services, you must be at least 18 years of age and capable of entering into a legally binding agreement. By using the Services, you represent and warrant that you meet these requirements. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Services in any way that violates applicable federal, state, local, or international law or regulation; (b) interfere with or disrupt the integrity or performance of the Services or the data contained therein; (c) attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means; (d) use the Services to transmit unsolicited commercial communications; (e) reverse engineer, decompile, or disassemble any component of the Services; or (f) use automated scripts or bots to interact with the Services without our prior written consent. Violations may result in immediate account suspension or termination.

3. Accounts

To access certain features of the Services, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected breach of security at legal@theconvexity.com. Convexity AI, Inc. will not be liable for any loss arising from unauthorized use of your account. You may not transfer your account to another party without our prior written consent.

4. Payment and Subscriptions

Access to the Services may require payment of fees as described on our website or in a separate order form or agreement (an "Order"). All fees are due as specified in the applicable Order. Subscriptions automatically renew at the end of each subscription period unless you cancel before the renewal date. All payments are non-refundable except as expressly required by applicable law or as otherwise stated in writing by Convexity AI, Inc. We reserve the right to modify pricing upon reasonable notice to you. Failure to pay fees when due may result in suspension or termination of your access to the Services.

5. Intellectual Property

All software, content, algorithms, models, documentation, trademarks, and other materials comprising or associated with the Services are owned by or licensed to Convexity AI, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Services or any Convexity content other than the limited right to use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, or create derivative works of any Convexity content without our prior written consent.

6. AI-Generated Outputs

The Services may use artificial intelligence to generate recommendations, forecasts, analyses, or other outputs ("AI Outputs"). AI Outputs are provided for informational and operational purposes only. You acknowledge that AI Outputs may not be accurate, complete, or suitable for your specific circumstances. You are solely responsible for evaluating and acting upon any AI Outputs. Convexity AI, Inc. expressly disclaims liability for any decisions made or actions taken in reliance on AI Outputs.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all business data, content, and materials you submit to the Services ("Customer Data"). By using the Services, you grant Convexity AI, Inc. a limited, non-exclusive, worldwide license to access, process, and use Customer Data solely as necessary to provide, maintain, and improve the Services and as described in our Privacy Policy. We will not sell or rent your Customer Data to third parties.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is marked or reasonably understood to be confidential ("Confidential Information"). Each party will use Confidential Information only as necessary to fulfill its obligations under these Terms and will protect it with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Convexity AI, Inc. does not warrant that the Services will meet your requirements or that any errors will be corrected. Your use of the Services is at your sole risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Convexity AI, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or goodwill, arising out of or in connection with these Terms or your use of the Services, even if advised of the possibility of such damages. In no event shall Convexity AI, Inc.'s total cumulative liability exceed the greater of (a) the fees you paid to Convexity AI, Inc. in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Convexity AI, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to any use of the Services' content other than as expressly authorized in these Terms.

12. Termination

Either party may terminate these Terms at any time. Convexity AI, Inc. reserves the right to suspend or terminate your access to the Services immediately, without notice, for any breach of these Terms or for any other reason at our sole discretion. You may cancel your account at any time by contacting us at legal@theconvexity.com. Upon termination, your right to use the Services will immediately cease. Sections 5, 6, 7, 8, 9, 10, 11, and 13 shall survive any termination.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be submitted to informal negotiation. If unresolved within thirty (30) days, disputes shall be subject to binding arbitration in accordance with the American Arbitration Association's rules, conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice via email or through the Services. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

15. Miscellaneous

These Terms, together with our Privacy Policy and any applicable Order, constitute the entire agreement between you and Convexity AI, Inc. regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
